The purpose of the FashionTV ModelSchool is to acquaint young people from 13 to 25. They will be get a basic intro to fashion and personality development, hair and make-up techniques, runway, commerical and photographic modelling techniques and participate in a gala fashion parade.
At the end of the course students will receive a certificate of completion from FTV ModelSchool. The names and selected photos will be posted on FTV Philippines' website, showing the successful graduates of the different schools. This will provide them with a link to many professional opportunities.
| Potential Fashion TV MODELSCHOOL Franchisee must have following qualifications: |

The model school franchisee should have experience in the fashion and modeling business. |
| 2. |
The model school franchisee must be a person of good standing. |
| 3. |
The franchisee must provide a school classroom facility and a suitable teaching environment to conduct FTV ModelSchool non-mall classes. The said facility should at least be equipped with one wide screen TV capable of receiving FTV feed directly from cable or satellite and it should have a visible FTV ModelSchool signage. |

| 4. |
For FTV ModelSchool mall classes, the franchisee should have access to a clean, centrally-located shopping center or mall. |
| 5. |
Each school has to provide at most 6 batches a year; each batch should have a maximum of 35 students. |
| 6. |
The model school franchisee should be able to provide a host and a mentor approved by ftv philippines. |

| Commercial conditions: |
| |
| 1. |
After approval, franchisee has to guarantee a maximum number of 6 batches a year. |
| 2. |
Maximum number of students is 35 per batch. |
| 3. |
FTV will issue an FTV ModelSchool certificate of completion (Annex A); post the name and selected photos of graduates on the FTV ModelSchool website for a period of one (1) year. |

Payment terms: |

50% upon completion and submission of a letter of intent |
| |
50% one (1) month before opening rights |
| 5. |
All payments are net of any tax and/or banking fees. |
| 6. |
FTV has the right to terminate the present agreement if payments are delayed by more than 7 days. |
| 7. |
FTV has the right to terminate the agreement if any moral problems, or any other bad press arise which may damage the image of FTV and FTV ModelSchool. |
| 8. |
The initial term of (one) 1 year can be renewed after discussions with FTV Philippines. |
| 9. |
Franchisee should obtain the special authorization from parents of minors before they are allowed to enroll at the FTV ModelSchool (Annex B). |
| 10. |
Franchisee should conduct an initial screening of applicants prior to enrollment. Minors should have their parents in attendance. |
| 11. |
Franchisee should adhere to the curriculum authorized by the FTV ModelSchool. FTV ModelSchool reserves the right to screen the mentors. |
| 12. |
All rights to trademarks, copyrights, intellectual property rights directly or indirectly related to FashionTV, FTV ModelSchool, FTV inside a diamond, including all titles, logos, concepts, franchise ideas, belong strictly to FTV. |

Any use of these on any printed materials, internet, TV, video, DVD, CD-ROMs, etc., is strictly forbidden without the prior written permission from FTV. |

FTV ModelSchool franchisees are expressly not allowed to register any of these names, or related names in the Philippines. Moreover, they cannot use the name FTV ModelSchool or FashionTV School Franchisee as their company name. |
| |
Any infringement to this clause gives the right for FTV Philippines to immediately terminate the agreement, while maintaining all rights to payments and compensation. |
| 13. |
Mutual claims and disagreements connected with the performance of the agreement shall be settled according to the legislation of the Philippines. |

Parent's written authorization allowing their child
to attend Fashion TV ModelSchool
By signing this authorization I, __________________, hereby grant the permission to my son/daughter ________________ to attend FTV ModelSchool and I understand that he/she will be exposed to the World of Fashion.
FTV Philippines guarantees that each student will receive, at the end of the course, a valuable certificate from The FTV ModelSchool. The name and selected photos of each student will be posted on FTV Philippines' website, for a period of one (1) year with contact information.
This will expose them to many professional opportunities, but FTV Philippines does not guarantee any employment, and shall not be held responsible for misbehaviors linked to their public exposure.
FTV ModelSchool franchisee guarantees required school facilities and suitable teaching environment to all students. |

By signing below, you understand the conditions of the agreement. FTV Philippines will do its best efforts to realize the agreement. In the event that FTV Philippines cannot, for a variety of reasons, realize the conditions, FTV Philippines will reimburse the client.
